Las Vegas Nevada – A Vacation to Remember

Las Vegas Nevada

Las Vegas, Nevada, also known as Sin City, is not the ideal getaway for someone who is looking for a relaxing vacation or time to catch up on some much needed rest as I recently discovered. For those, like me, who are looking for excitement, fun, and an unforgettable time, then Vegas won’t disappoint.

It’s best to arrive in at night to fully appreciate the shock and beauty of the city. I was amazed to find the lights every brighter than I had imagined. Everywhere I turned there were sights that had me captivated, from the fountain show at the Bellagio to the Eiffel Tower at Paris Las Vegas. During my last trip here, I discovered three things imperative to experience for a successful trip: The shows, nightlife, and of course, the casinos.

Out of the plethora of shows available, two shows rise above the rest: The Cirque du Soleil “O” show and the Beatles LOVE. When attending the “O” show, I arrived early to give myself time to explore the Bellagio’s Conservatory and Garden, which I found perfect to put me in the appropriate mindset to fully enjoy the upcoming show. The “O” Show is nothing short of mesmerizing, with amazing acrobatics and an incredible presentation, it was certainly one of the shortest hours of my life. The Beatles LOVE was not far behind, unbelievable stunts performed to the Beatles timeless tunes make for a shockingly entertaining experience.

Las Vegas nightlife is world renowned. From smaller more intimate settings ideal for grabbing an after dinner drink to trendy nightclubs perfect for dancing the night away, I wanted to experience it all. I found the Mix Lounge in the Mandalay Bay hotel to be a wonderful and classy place to enjoy a cocktail while overlooking the bustling activity of The Strip. Though, when a nightclub atmosphere was what I was after, I put on my dancing shoes and headed to Tao housed in the Venetian. I was intrigued by the unique, Asian themed lounge complete with a Koi pond and multiple levels of dance floors and patios that make Tao a Las Vegas must see.

Whether I was feeling lucky or preferred to people watch, I made sure to visit a variety of Las Vegas Casinos. As a matter of fact, it would have been hard to avoid the casinos, seeing as they are located in almost every hotel, many restaurants, and even offer some chances to win in the Las Vegas airport. To fully appreciate the Las Vegas Casinos, I was sure to try my luck at the casino located in Caesars Palace. I figure, if I couldn’t find my luck in Caesars Palace, I must have left it as home, seeing as it is most expansive of all the Vegas hotel casinos.

Throughout my experience I have found Las Vegas to be a city alive with energy that has stayed with me long after I left and certainly has kept me anxious to return.

Looking for Apartments? Nevada Is Your Place – Check Out Rent Prices in These 3 Small Communities

Nevada is a great State with rich heritage from the Old West, but the overwhelming majority of the population lives in either the Las Vegas or Reno metropolitan areas. Here are three great places with fewer residents but tons of character. Even if you never move here or rent an apartment, you should visit these fantastic communities.

Carson City, NV – average apartment rent: $895, population 55,176
The capital of Nevada, Carson City is in the western part of the State and is one of Nevada’s best-kept secrets. The climate here is so much nicer than Las Vegas and most of the other large communities — summer is hot, but not scorching, and winters are cold, but not freezing. Average high temperatures reach 89 degrees in July and average lows get down to 22 degrees in January, with around 10 inches of snowfall per year.

Carson City has a great, old-west feel to it and is rich in State history. Traditionally, the city is Republican, but Barack Obama beat John McCain here in the 2008 Presidential election by 204 votes. The city is greener than many others in the State and there’s a wonderful railroad museum for families to visit.

Pahrump, NV – average apartment rent: $915, population: 41,654
The town’s motto is “Heart of the New Old West” and it certainly lives up to the designation. The community is 60 miles west of Las Vegas and has many naturally-occurring artesian wells which provide much-needed water to the remote settlement.

Pahrump also sees a fair amount of tourist traffic from visitors to nearby Shoshone, CA and Death Valley National Park. Life in Pahrump is peaceful and simple; and, while necessities are available, residents travel just over an hour to Las Vegas for the extras.

Boulder City, NV – average apartment rent: $755, population: 14,896
A quirky city in Nevada that prohibits gambling, Boulder City is about 30 miles southeast of Las Vegas. The community may be small, but it offers golfing, a city pool, lit tennis courts, hiking trails, a BMX track, skydiving and aerial tours of Hoover Dam and the Grand Canyon.
Proximity to Lake Mead and the Hoover Dam brings a number of tourists to Boulder City each year.

Residents of Carson City, Pahrump, and Boulder City hold some of Nevada’s best-kept secrets. If you’re looking for apartments outside of Nevada’s dense population centers, be sure to look in these communities first.

Nevada May Become First State to Permit Self Driving Cars

In Nevada Cars may not be ready to fly, but some vehicles may soon be of the self-driving variety. And, one state, Nevada, may soon allow the first of the self-driving vehicles to take to our roads, if Google has its way. Nevada, the nearest state to Google’s California headquarters is a natural choice, given the state’s wide open roads and much lower population density.

Google’s Push

The Internet giant has its hands in a number of baskets including one where self-driving cars are not only being tested, but successfully deployed. Up to now, a professional driver has always been behind the wheel of these cars, but Google is pushing for Nevada to become the first state in the nation to allow for driverless cars. If Google’s appeal to state legislators is positively received and the governor signs on, then so-called autonomous cars may begin to roll out.

Driverless cars sound positively scary to some people, but these vehicles are specially equipped to drive without someone behind the wheel. Google and other companies have been working on developing the technology which, if implemented, would allow people to tend to other tasks while their cars head down the road. This might prove advantageous for the driver who needs to drive long distances at night and would prefer to get some shut-eye instead of trying to stay awake all night. Skip the hotel room and set your car to travel the next seven or eight hours on a full tank of gas. No, your ride won’t be able to top off at the gas station while you’re asleep, but it’ll let you get some rest while moving you down the highway.

Sensor Detection

Autonomous cars work by making use of sensors, cameras and laser range finders. The project is in cooperation with artificial intelligence researchers at Stanford University, located near Google headquarters. Robotic vehicles have the ability to reduce road accidents and deaths, while improving energy efficiency. That, along with a car sharing system, could reduce the number of cars on America’s roads, perhaps by one-half. Under one scenario, you might be able to call for a rental car to come to your home — driverless, of course — and take you where you want to go.

According to The New York Times, Google has tested autonomous vehicles for more than 140,000 miles on crowded California highways. These vehicles weren’t without a driver present, rather the driver sat behind the wheel of the car and let the car do the driving itself. A second person has always sat in the front passenger seat, taking notes and monitoring progress.

Nevada’s Move

Nevada may take up Google’s proposal as soon as June 2011. Google has hired a lobbyist to make the case to the state’s legislator who will have to look at the possibility of setting precedent and paving the way for autonomous cars elsewhere in the United States.

The Nevada Myth

It is obvious that state law has a significant bearing when dealing with corporate law. As a result, it is often the case that a client will make an inquiry concerning whether they should create a “Nevada corporation” or form their entity in a different state. However, the reasons that many people perceive Nevada as being a good choice are not necessarily the right ones. In order to analyze in which states it is better for entities to incorporate, you need to take into consideration the types of liabilities that tend to surface in business, and what good it would do for your particular dealing to avail yourself to a specific channel. Based on my experiences, there are a few common incentives driving the people who believe they should shop around for the most opportune incorporation state.

The first reason is that it is widely perceived as being better for liability to incorporate in a state such as Nevada, with the idea being that Nevada has less liability than the more liberal states, like California. While this may be true, it is faulty rationale to believe that you will be able to reap the benefits of Nevada’s better laws simply by incorporating there. In reality, if you run a business in the state of California, but enroll it as a corporation in Nevada, the chances are slim that a case of yours would ever take place in Nevada. For example, if you own a Nevada corporation, but its main office is in San Diego, you are unlikely to ever go to court anywhere but in San Diego, which adheres to California’s law, not Nevada’s. What this means is that most external liabilities are going to occur in the state where you actually carry out your business, not in the state in which you incorporate.

Therefore, to evade general liability, there are not many advantages to gain from out-of-state corporate registration. Plus, doing this obligates you to pay dual annual fees, seeing as it would still be necessary for you to enroll your Nevada corporation in the state where you actually conduct your business.
The second reason people wish to incorporate in a state like Nevada is because there are certain states that do not necessitate that the investors are made known. The appeal that this holds is that in creating a Nevada corporation, you have the potential to skirt around your would-be creditors discovering that you possess shares in a prosperous Nevada corporation. However, the issue with this is that in order to prevent it from being disclosed that you are linked with a Nevada corporation, you need to avert yourself from being recognized as both an investor and as an officer or director, and while Nevada does not mandate registration on the investor side, it does necessitate the registration of officers and directors.

Flying under the radar, so to speak, in a Nevada corporation would require you to hire both an officer and a director who would work for you and be listed on the annual list of officers and directors. When this practice occurs, the officers and directors are referred to as nominal officers and nominal directors. The use of nominal officers and directors is not exactly the most advisable business approach to take, however. This practice can cost several thousands of dollars each year and add a substantial complication to your business dealings. Additionally, there is the chance that in doing this you might not be protected in the event of a normal liability. While this process does make it more difficult for a creditor to disclose your assets, it does not avert them from suing you and eventually discovering you and your entity. In summation, attempting to shroud your business dealings is a complicated process whose end will not necessarily be justified by the means.

A third reason that Nevada is made out to be a better jurisdiction is that this state has neither corporate taxes, nor individual state taxes. But as with Nevada’s previously discussed “benefits,” there are misgivings about this perceived perk as well. In order for your business to be able to take advantage of Nevada’s propitious tax laws, you would need to hold an office in Nevada that was either your corporation’s principle or only office. However, when your revenue is withdrawn from your corporation, the personal tax that you pay is too the state in which you live. Therefore, the only truly feasible way of avoiding state taxes is to actually reside in Nevada and operate you business out of a Nevada office, which is, again, often more trouble than it’s worth.

The last most common reason that makes people believe is it better to incorporate in a state like Nevada is that they think they will have access to more profitable shareholder law. Unlike the aforementioned three reasons, this fourth rationale actually does hold merit. In Nevada, bylaws have the ability to be modified with only a majority of investors voting, which allows for corporate restructuring and important corporate decisions without the approval of minority investors. In terms of the rights of management, Nevada business laws are typically more favorable because there is no obligatory stipulation to allow for cumulative voting as there is with California business laws. Moreover, in Nevada, companies are permitted to exchange stock for services in the future, whereas this is not the case with many other states.

If your company is going to have investors, then it may very well be worth the effort to seek incorporation in Nevada. Just bear in mind the first three reasons which lead people to believe that Nevada is a better jurisdiction, and weigh the fees connected with duplicating your filings. After doing these things, if you gather that you will have investors and can afford the cost of the added complications, then incorporating in Nevada could be worth the exertion.

The state doesn’t have to necessarily be Nevada, however. There are other states that also offer similar incorporating advantages. If you intend to have investors, you will most likely have an attorney helping you. In which case, you can seek his or her counsel regarding which jurisdiction will be best for your business. For small businesses, however, it is generally most effective to incorporate in your own state and keep yourself free from becoming involved with the hassles of pursuing the Nevada myth.
